3.2 Service Availability

  • We do not guarantee the accuracy, completeness, or reliability of any AI-generated content

4.3 Client Responsibility
You are responsible for:

  • Reviewing all AI outputs before use in your business operations

  • Verifying critical information from original source data

  • Making independent business decisions based on your own judgment

  • Training your staff on proper use and limitations of AI services

  • Ensuring compliance with industry-specific regulations

4.4 AI Limitations
You acknowledge that AI systems:

  1. CLIENT OBLIGATIONS

5.1 Accurate Information
You agree to provide accurate, current, and complete information when using our Services and to update such information as necessary.

5.2 Content Responsibility
You are solely responsible for all Content you provide to us. You represent and warrant that:

  • You have all necessary rights to the Content

  • The Content does not infringe any third-party rights

  • The Content complies with all applicable laws and regulations

  • The Content does not contain malicious code or harmful materials

You agree not to:

6.2 Payment Terms

  • Payment is due according to the schedule in your service agreement

  • Typical terms: 50% deposit upon signing, 50% upon go-live

  • Monthly fees are due on the 1st of each month

  • Late payments may incur interest at 1.5% per month

6.3 API and Third-Party Costs
Some Services require third-party API subscriptions (OpenAI, Twilio, SendGrid, etc.). You are responsible for:

  • Costs that exceed estimated usage limits

  • Direct subscriptions to third-party services as required

  • Compliance with third-party terms of service

6.4 Price Changes
We may adjust pricing with 30 days' written notice. Price changes do not apply retroactively to prepaid periods.

  1. INTELLECTUAL PROPERTY

7.1 Our Intellectual Property
We retain all rights, title, and interest in:

  • Our platform, software, and technology

  • Workflow templates and automation patterns

  • Proprietary methodologies and processes

  • Trademarks, service marks, and branding

  • Aggregate and anonymized data insights

7.2 Your Intellectual Property
You retain all rights to:

  • Your business data and customer information

  • Content you provide to us

  • Your trademarks and branding

7.3 License Grant
We grant you a limited, non-exclusive, non-transferable license to use our Services during the term of your service agreement.

7.4 Custom Work
Unless otherwise specified in your service agreement:

  • Custom workflows built for you are licensed, not owned, by you

  • Underlying templates and components remain our property

  • You may not resell, sublicense, or distribute custom work

8.1 Privacy Policy

We collect anonymized performance data from your automations for:

  • You may request data export or deletion at any time

We offer Standard, HIPAA, and Privilege privacy tiers. Your privacy tier is specified in your service agreement and determines data handling practices.

  1. CONFIDENTIALITY

9.1 Confidential Information

9.2 Exclusions
Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of the receiving party

  • Was known to the receiving party before disclosure

  • Is independently developed without use of confidential information

  • Is disclosed with prior written consent

9.3 Duration
Confidentiality obligations survive termination for a period of 3 years.

  1. LIMITATION OF LIABILITY

10.1 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEON INTELLIGENCE LLC SHALL NOT BE LIABLE FOR:

  • Lost profits, revenue, or business opportunities

  • Data loss or corruption

  • Indirect, incidental, special, or consequential damages

  • Damages arising from AI output inaccuracies

  • Damages arising from third-party service failures

  • Damages exceeding fees paid in the preceding 12 months

10.2 AI-Specific Limitations
WE ARE NOT LIABLE FOR:

  • Business decisions made based on AI recommendations

  • Errors in AI-generated content, pricing, or communications

  • Customer complaints arising from AI interactions

  • Regulatory violations resulting from AI outputs

  • Any harm arising from reliance on AI-generated information

10.3 Essential Purpose
These limitations apply even if any remedy fails of its essential purpose.

10.4 Jurisdictional Variations
Some jurisdictions do not allow certain limitations. In such cases, our liability is limited to the maximum extent permitted by law.

  1. INDEMNIFICATION

11.1 Your Indemnification
You agree to indemnify, defend, and hold harmless Aeon Intelligence LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our Services

  • Content you provide to us

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Your violation of applicable laws or regulations

  • Your customers' claims related to AI-generated outputs

11.2 Indemnification Procedure
We will provide prompt notice of any claim and reasonable cooperation in defense. You may not settle any claim without our prior written consent.

  1. TERM AND TERMINATION

12.1 Term
These Terms remain in effect while you use our Site or Services. Service agreements have their own term provisions.

12.2 Termination for Convenience
Either party may terminate a service agreement with 30 days' written notice.

12.3 Termination for Cause
We may terminate immediately if you:

  • Breach these Terms or your service agreement

  • Fail to pay fees when due

  • Engage in illegal or harmful activities

  • Violate third-party rights

12.4 Effect of Termination
Upon termination:

  • Your access to Services will cease

  • You may request data export within 30 days

  • All fees owed become immediately due

  • Provisions that should survive (confidentiality, limitation of liability, indemnification) remain in effect

12.5 Data After Termination

  • You may export your data within 30 days of termination

  • Raw data will be deleted within 30 days after export period

  • Anonymized aggregate data may be retained indefinitely

  1. FORCE MAJEURE

Neither party shall be liable for failures or delays due to circumstances beyond reasonable control, including but not limited to:

  • Third-party API outages (OpenAI, Anthropic, Twilio, SendGrid, etc.)

  • Internet or telecommunications failures

  • Natural disasters, acts of God

  • War, terrorism, civil unrest

  • Government actions or regulations

  • Pandemics or public health emergencies

  • Power outages

We will notify you promptly of any force majeure event and use reasonable efforts to resume Services.

  1. DISPUTE RESOLUTION

14.1 Informal Resolution
Before initiating formal proceedings, both parties agree to attempt informal resolution by contacting the other party in writing.

14.2 Governing Law
These Terms are governed by the laws of the State of Arkansas, without regard to conflict of law principles.

14.3 Jurisdiction
Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Arkansas.

14.4 Arbitration Option
For disputes under $25,000, either party may elect binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitrator's decision shall be final and binding.

14.5 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

15.1 Electronic Communications
By using our Services, you consent to receive electronic communications from us regarding your account, service updates, and promotional materials.

15.2 Marketing Communications
You may opt out of marketing communications at any time by clicking "unsubscribe" or contacting us.

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Aeon Intelligence LLC.

18.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.

18.3 Waiver
Failure to enforce any provision does not waive the right to enforce it later.

18.4 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights freely.

18.5 Headings
Section headings are for convenience only and do not affect interpretation.

18.6 No Partnership
Nothing in these Terms creates a partnership, joint venture, or agency relationship.

19.1 Call Recording Services
If your service includes call recording:

  • You authorize recording of calls for quality, training, and analytics

  • We will provide appropriate consent disclosures to callers

  • Recordings are stored securely and subject to our data retention policies

  • You are responsible for compliance with state recording laws

19.2 Email and SMS Services
If your service includes email or SMS communications:

  • You are responsible for obtaining proper consent from recipients

  • You must comply with CAN-SPAM, TCPA, and applicable laws

  • We provide tools for opt-out compliance; you must use them properly

  • You are liable for any regulatory violations

19.5 SMS/TEXT MESSAGING TERMS (AEON INTELLIGENCE SMS PROGRAM)

PROGRAM NAME: Aeon Intelligence SMS Notifications

PROGRAM DESCRIPTION: When you opt in to receive SMS messages from Aeon Intelligence LLC, you consent to receive automated service-related text messages including but not limited to: appointment reminders, appointment confirmations, booking notifications, service updates, and customer support communications related to your business automation services.

OPT-OUT INSTRUCTIONS:
You can cancel the SMS service at any time. Just text "STOP" to the number from which you received messages. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

HELP AND SUPPORT:
If you are experiencing issues with the messaging program, you can reply with the keyword "HELP" for more assistance, or you can get help directly at:

MESSAGE FREQUENCY:
Message frequency varies based on your service configuration. You may receive up to 10 messages per day depending on your appointment volume and service settings. Standard message frequency is 2-5 messages per week for typical business operations.

MESSAGE AND DATA RATES:
As always, message and data rates may apply for any messages sent to you from us and to us from you. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

CARRIER LIABILITY:
Carriers are not liable for delayed or undelivered messages.

PRIVACY:
Your mobile phone number and SMS opt-in data will NOT be shared with third parties or affiliates for marketing or promotional purposes. For complete privacy information, please read our privacy policy at: https://aeon-intelligence.com/privacy

CONSENT:
By opting in to receive SMS messages, you confirm that you are the account holder for the mobile number provided or have authorization from the account holder to receive SMS messages at that number.

19.3 AI Customer Support (WilsonWise™)
If your service includes AI customer support:

  • AI responses may not always be accurate or appropriate

  • You must monitor AI interactions and intervene when necessary

  • You are responsible for training and calibrating the AI with your business information

  • Customer complaints arising from AI interactions are your responsibility

19.4 Document Query Services (InstaAnswer™)
If your service includes document query:

  • Query results may not reflect all relevant information

  • You must verify important information from source documents

  • Embedding-based search has inherent limitations

  • We do not guarantee completeness or accuracy of query results
